End User License Agreement

STANDARD APPLE INC. SOFTWARE LICENSE AGREEMENT FOR APP STORE APPLICATIONS

1. Acknowledgement

This End User License Agreement ("EULA") is a legal agreement between you and ColorMetric. This EULA governs your use of the ColorMetric application ("Licensed Application") that is made available through the Apple App Store. By downloading, installing, or using the Licensed Application, you agree to be bound by the terms of this EULA.

2. Scope of License

This license granted to you for the Licensed Application by ColorMetric is limited to a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple App Store Terms of Service. This license does not allow you to use the Licensed Application on any Apple-branded products that you do not own or control, and you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application. You may not copy (except as expressly permitted by this license and the Usage Rules), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open sourced components included with the Licensed Application).

3. Maintenance and Support

ColorMetric is solely responsible for providing any maintenance and support services for this Licensed Application, as specified in this EULA, or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4. Warranty

ColorMetric is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be ColorMetric's sole responsibility.

5. Product Claims

ColorMetric, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of that Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

6. Intellectual Property Rights

In the event of any third party claim that the Licensed Application or your possession and use of that Licensed Application infringes that third party's intellectual property rights, ColorMetric, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

7. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

8. Third Party Terms of Agreement

You must comply with applicable third party terms of agreement when using the Licensed Application.

9. Third Party Beneficiary

Apple and Apple's subsidiaries are third party beneficiaries of this EULA, and upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third party beneficiary thereof.

10. Termination

This EULA is effective until terminated by you or ColorMetric. Your rights under this EULA will terminate automatically without notice from ColorMetric if you fail to comply with any term(s) of this EULA. Upon termination of the EULA, you shall cease all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application.

11. Export Law

You agree to use the Licensed Application in compliance with all applicable laws, including local laws of the country or region in which you reside or in which you download or use the Licensed Application.
